Call to Order: Chair Dusty Farmer called the meeting to order at approximately 8:34am. Approval of or Amendments to Agenda: A motion was made by Jeff Sorensen and supported by Larry Stehouwer to approve the agenda as presented. Upon a voice vote, the motion was carried 5-0. 3. Public Comments on Non-Agenda Items: There was no public comment. 4. Consent Agenda: a. Meeting Minutes – October 27, 2022 Regular Meeting b. November 2022 Financial Reports c. November 2022 Budget Adjustments & Amendments d. Approval of 2023 Regular Board Meeting Schedule e. Proposal for Renewal from Sun Life Financial – Life/STD/LTD Insurance A motion was made by Jeff Sorensen and supported by Cheri Bell to approve the consent agenda as presented. Upon a voice vote, the motion was carried 5-0. 5. Resolution to Adopt the FY 2023 Budget: A resolution to adopt the FY 2023 budget was before the board. Jeff Sorensen and Carol DeHaan shared some comments from the Cooper Township Board of Trustees regarding the requested budget. A motion was made by Jeff Sorensen and supported by Carol DeHaan to adopt the resolution as presented. Upon a roll call vote, the following voted: Yes: Larry Stehouwer, Jeff Sorensen, Carol DeHaan, Cheri Bell, Dusty Farmer The motion was carried 5-0. 6. Consideration of Inspector Contracts for Renewal: A motion was made by Carol DeHaan and supported by Dusty Farmer to approve the renewal of the contracts as presented. Upon a voice vote, the motion was carried 5-0. Consideration of Proposed CD Investment: Treasurer DeHaan presented a selection of CD rates to the board. A motion was made by Jeff Sorensen and supported by Cheri Bell to make an investment in the amount of $250,000 in a 12 month certificate of deposit (CD) with the financial institution offering the highest interest rate. Upon a voice vote, the motion was carried 5-0. 8. Consideration of Proposed 2023 Holiday Schedule: A motion was made by Carol DeHaan and supported by Jeff Sorensen to approve the 2023 holiday schedule as presented, including the addition of Juneteenth as a new paid holiday. Cheri Bell expressed that the addition of a new paid holiday would result in a loss of service to the public and lost productivity for staff. Upon a voice vote, the motion was carried 5-0. 9. Consideration of Citizen Member at Large Appointment: Following board discussion, Bernie Mein (an Oshtemo Township resident) was put forward as someone who may be interested in filling the citizen member at large role. Office Manager Gibson was directed to invite him to the next regular meeting. 10. Board Chair’s Report: Chair Farmer apprised the board of an ongoing situation with a developer with input from Building Official Reitenour. 11. Other Business: There was no other business brought before the board. 12. Adjournment: Seeing and hearing no other business, and having exhausted the agenda, Board Chair Dusty Farmer declared the meeting adjourned at approximately 9:21am. Meeting Minutes – September 22, 2022 Regular Meeting A motion was made by Larry Stehouwer and supported by Jeff Sorensen to approve item A as presented. Upon a voice vote, the motion was carried 5-0. 5. Property and Liability Insurance Renewal: Office Manager Gibson presented a renewal proposal from The Ted Hartleb Agency. A motion was made by Jeff Sorensen and supported by Cheri Bell to accept the renewal proposal as presented. Upon a voice vote, the motion was carried 5-0. 6. October 2022 Financial Reports: Chair Farmer asked a question regarding the miscellaneous expense activity, Office Manager Kyle Gibson responded. Chair Farmer advised the Board of a required budget amendment for the legal fees expense account to reimburse fees incurred by Oshtemo Township on behalf of the Authority. A motion was made by Carol DeHaan and supported by Jeff Sorensen to amend the budget by $21,000. Upon a voice vote, the motion was carried 5-0. 7. Consideration of the FY 2023 Requested Budget: Chair Farmer expressed her appreciation for the work put into the preparation of the budget by Office Manager Gibson. Mr. Gibson thanked the Board and presented the requested budget, answering several questions from members of the Board. Chair Farmer requested a 10-minute recess at 9:00am with no opposition. Consensus was that Treasurer DeHaan should meet with Office Manager Gibson to prepare recommendations for the Board’s review at the next regular meeting. A motion was made by Jeff Sorensen and supported by Carol DeHaan to approve the requested budget as presented, pending approvals from the participating local units. Upon a voice vote, the motion was carried 5-0. 8. Closed Session to Conduct a Periodic Performance Review of the Building Official: A resolution to enter closed session was before the Board. A motion was made by Dusty Farmer and supported by Jeff Sorensen to adopt the foregoing resolution. Upon a Roll Call Vote, the following voted “Yes”: Dusty Farmer, Jeff Sorensen, Cheri Bell, Larry Stehouwer, Carol DeHaan. The motion was carried 5-0. The Board entered closed session at approximately 9:24am. Cheri Bell left at 9:40am. A motion was made by Jeff Sorensen and supported by Dusty Farmer to exit closed session. Upon a voice vote, the motion was carried 5-0. The board returned to open session at approximately 10:26am. 9. Board Chair’s Report: Chair Farmer had nothing to report. 10. Other Business: There was no other business brought before the board. 11. The Parties agree under the following terms and conditions. RELATIONSHIP The Authority contracts with the Inspector as an independent contractor. The terms of the Agreement shall not be construed to imply the creation or existence of an employee-employer relationship. TERM AND SEPARATION The Term of this Agreement is defined for a period of one (1) year, beginning on January 1, 2023, and ending on December 31, 2023, unless otherwise terminated pursuant to the terms of this Agreement. The Inspector serves at the pleasure of the SMBA Board of Directors (hereafter, “Board”), and the Agreement may be terminated at any time with or without cause prior to or during the term of the Agreement as defined herein. Should the Authority terminate the Agreement without cause, the Authority shall provide at least thirty (30) days’ notice to the Inspector in writing. Should the Authority terminate the Agreement with cause, which includes but is not limited to misfeasance, malfeasance, and nonfeasance, such termination shall be effective on the date written notice of termination is delivered to the Inspector. Should the Inspector voluntarily terminate the Agreement with the Authority, the Inspector shall provide thirty (30) days’ advance notice in writing of the intent to terminate the Agreement. The Inspector shall continue to perform all duties set forth in this Agreement until the effective date of termination of the Agreement. Under no circumstances shall the Inspector be entitled to any additional compensation outside of the terms of this Agreement. HOLDOVER CLAUSE In the event that the Board fails to renew this Agreement for a subsequent term at the end of the Term of this Agreement, the provisions of this Agreement shall continue in full effect on a month-to-month basis until a new agreement is made between the Parties, provided that: (1) The Board has not provided notice of termination to the Inspector as required by the Agreement; (2) The Inspector remains in full 2022-11-17 SMBA Board Packet | Page 39 of 69 Page 2 of 6 compliance with the Agreement; and (3) Continues to perform their duties in a satisfactory manner. The purpose of this clause is to ensure that the Authority’s ability to serve its participating local units is not interrupted, and does not negate the Authority’s desire to limit the Agreement to the prescribed Term to the fullest extent possible. POSITION AND DUTIES The Inspector shall cooperate with the Authority under the supervision of the Building Official. The Inspector shall, to the best of their ability and within the terms of this Agreement, perform inspections, review plans, make reports, and provide technical assistance to the Authority. The Inspector shall keep and supply accurate accountings to the Authority of inspections performed, the results of said inspections, and any violations discovered during the course of the inspections. The Inspector shall appear in court or at SMBA meetings at the request of the Authority if deemed necessary to protect the health, safety, and welfare of the public, for which the Inspector shall be compensated at an hourly rate as defined in this Agreement. The Inspector shall maintain a valid cell phone number where the Authority or members of the public can reach the Inspector during the official business hours held by the Authority on the days when the Inspector is scheduled to provide services to the Authority. The Inspector may elect to hold office hours at the Authority’s place of business as needed at the Inspector’s discretion. The Authority shall provide the Inspector with means to access the Authority’s computer network and systems for the purposes of receiving inspection assignments, performing technical research relating to inspections or plan reviews assigned by the Authority, recording inspection results and any violations found during a given inspection. All inspections and plan reviews performed by Inspector under the terms of this Agreement shall conform to the currently adopted building codes as set forth by the State of Michigan, as well as all applicable local laws and ordinances. LICENSE At all times and with no exception, Inspector shall possess a valid license to perform the duties as described herein and be registered as required by State law, and shall also maintain compliance with all other Federal, State, and local laws and ordinances as applicable and required to carry out the business of the Authority under 2022-11-17 SMBA Board Packet | Page 40 of 69 Page 3 of 6 this Agreement. If at any time the Inspector no longer possess a valid license or registration to perform the duties assigned by the Authority under the terms of this Agreement, they shall immediately notify the Building Official and cease all operations under this Agreement. If the matter is not resolved within a reasonable period of time, the failure of the Inspector to possess a valid license or registration shall be cause for termination of this Agreement, subject to the terms outlined herein. FEES In consideration of services to be rendered by Inspector to the Authority, the Parties agree to the follow schedule of compensation: – $50 per inspection performed at the direction of the Authority and under the terms of this Agreement. The Inspector must enter the results of all inspections as directed by the Authority in order to receive compensation. The Inspector shall not receive compensation for inspections which were scheduled, but not performed. If an inspection is canceled after the Inspector has already attempted to perform the Inspection and was locked out, refused entry, or similar, the Inspector shall be entitled to compensation. – $50 per hour spent performing plan review at the direction of the Authority and under the terms of this Agreement. – $50 per hour for attendance at SMBA meetings or court appearances as required under the terms of this Agreement. – $50 per hour for consultations requested by the Authority in writing. The Inspector shall submit an invoice to the Authority on a bi-weekly basis detailing the date of inspection, address of inspection, type of inspection performed, and result of inspection. The inspector shall submit separate invoice(s) for plan review, meeting attendance, consultations, or other claims for compensation under the terms of this Agreement. PAYMENT OF FEES The Authority shall remit payment for invoices received from the Inspector on a bi-weekly basis. Payments made by the Authority to the Inspector under the terms of this Agreement shall be made in the form of a check issued to the Inspector. The Inspector may elect to have such payments mailed to the address listed on IRS Form W9, or to pick up the check from the Authority’s office. The Inspector shall provide to the Authority a completed IRS Form W9 prior to the start of the term of this Agreement as defined herein. The Inspector shall ensure that a complete and accurate IRS Form W9 is provided to the Authority any time the information contained in that Form changes. 2022-11-17 SMBA Board Packet | Page 41 of 69 Page 4 of 6 The Inspector is responsible for maintaining accurate contact information on file with the Authority. The Authority is not responsible for processing delays caused by the provision of incomplete or inaccurate information to the Authority by the Inspector. BENEFITS, TAXES, BUSINESS EXPENSES The Parties agree that the Inspector is engaged in the Inspector’s own independently established business. The Authority is not responsible for and will not withhold or pay payroll or employment taxes of any kind. Because the Inspector is an independent business and not an employee of SMBA, the Inspector is not eligible for any benefits offered to the employees of the Authority. The Inspector shall be personally responsible for all ordinary and necessary business expenses incurred while performing services to the Authority under the terms of this Agreement. Such expenses may for example include mileage, office supplies, personal protective equipment, postage, etc. The Authority shall not be liable to the Inspector for any expenses paid or incurred by the Inspector unless otherwise agreed to in writing by the Board. INSURANCE The Inspector shall provide to the Authority proof of liability insurance with a minimum of one million dollars ($1,000,000) in coverage. The Inspector shall provide to the Authority proof of auto personal injury / property protection coverage with minimum amounts of five hundred thousand dollars ($500,000) / five hundred thousand dollars ($500,000). The Inspector shall comply with all applicable Worker’s compensation law. Proof of Worker’s Compensation insurance shall be provided to the Authority, except when the Inspector operates as a sole proprietorship and provides satisfactory documentation of such to the Authority, or when the Inspector operates as a limited liability company and provides a form WC-337 from the Worker’s Compensation Agency, evidencing its exclusion from Worker’s Compensation coverage. INDEMNIFICATION The Inspector agrees to indemnify and hold the Authority and its Board of Directors, members, employees, or agents harmless from any and all suits, claims, damages, costs, and expenses of every kind and nature which may or might be asserted against the Authority and its Board of Directors, members, employees, or agents by another or others resulting directly or indirectly from the acts or omissions by the Inspector. The Parties agree under the following terms and conditions. RELATIONSHIP The Authority contracts with the Inspector as an independent contractor. The terms of the Agreement shall not be construed to imply the creation or existence of an employee-employer relationship. TERM AND SEPARATION The Term of this Agreement is defined for a period of one (1) year, beginning on January 1, 2023, and ending on December 31, 2023, unless otherwise terminated pursuant to the terms of this Agreement. The Inspector serves at the pleasure of the SMBA Board of Directors (hereafter, “Board”), and the Agreement may be terminated at any time with or without cause prior to or during the term of the Agreement as defined herein. Should the Authority terminate the Agreement without cause, the Authority shall provide at least thirty (30) days’ notice to the Inspector in writing. Should the Authority terminate the Agreement with cause, which includes but is not limited to misfeasance, malfeasance, and nonfeasance, such termination shall be effective on the date written notice of termination is delivered to the Inspector. Should the Inspector voluntarily terminate the Agreement with the Authority, the Inspector shall provide thirty (30) days’ advance notice in writing of the intent to terminate the Agreement. The Inspector shall continue to perform all duties set forth in this Agreement until the effective date of termination of the Agreement. Under no circumstances shall the Inspector be entitled to any additional compensation outside of the terms of this Agreement. POSITION AND DUTIES The Inspector shall cooperate with the Authority under the supervision of the Building Official. The Inspector shall, to the best of their ability and within the terms of this Agreement, perform inspections, review plans, make reports, and provide technical assistance to the Authority. The Inspector shall keep and supply accurate accountings to the Authority of inspections performed, the results of said inspections, and any violations discovered during the course of the inspections. The Inspector shall appear in court or at SMBA meetings at the request of the Authority if deemed necessary to protect the health, safety, and welfare of the public, for which the Inspector shall be compensated at an hourly rate as defined in this Agreement. The Inspector shall maintain a valid cell phone number where the Authority or members of the public can reach the Inspector during the official business hours held by the Authority on the days when the Inspector is scheduled to provide services to the Authority. The Inspector may elect to hold office hours at the Authority’s place of business as needed at the Inspector’s discretion. The Authority shall provide the Inspector with means to access the Authority’s computer network and systems for the purposes of receiving inspection assignments, performing technical research relating to inspections or plan reviews assigned by the Authority, recording inspection results and any violations found during a given inspection. All inspections and plan reviews performed by Inspector under the terms of this Agreement shall conform to the currently adopted building codes as set forth by the State of Michigan, as well as all applicable local laws and ordinances. LICENSE At all times and with no exception, Inspector shall possess a valid license to perform the duties as described herein and be registered as required by State law, and shall also maintain compliance with all other Federal, State, and local laws and ordinances as applicable and required to carry out the business of the Authority under 2022-11-17 SMBA Board Packet | Page 46 of 69 Page 3 of 6 this Agreement. If at any time the Inspector no longer possess a valid license or registration to perform the duties assigned by the Authority under the terms of this Agreement, they shall immediately notify the Building Official and cease all operations under this Agreement. If the matter is not resolved within a reasonable period of time, the failure of the Inspector to possess a valid license or registration shall be cause for termination of this Agreement, subject to the terms outlined herein. FEES In consideration of services to be rendered by Inspector to the Authority, the Parties agree to the follow schedule of compensation: – $50 per inspection performed at the direction of the Authority and under the terms of this Agreement. The Inspector must enter the results of all inspections as directed by the Authority in order to receive compensation. The Inspector shall not receive compensation for inspections which were scheduled, but not performed. If an inspection is canceled after the Inspector has already attempted to perform the Inspection and was locked out, refused entry, or similar, the Inspector shall be entitled to compensation. – $50 per hour spent performing plan review at the direction of the Authority and under the terms of this Agreement. – $50 per hour for attendance at SMBA meetings or court appearances as required under the terms of this Agreement. – $50 per hour for consultations requested by the Authority in writing. The Inspector shall submit an invoice to the Authority on a bi-weekly basis detailing the date of inspection, address of inspection, type of inspection performed, and result of inspection. The inspector shall submit separate invoice(s) for plan review, meeting attendance, consultations, or other claims for compensation under the terms of this Agreement. PAYMENT OF FEES The Authority shall remit payment for invoices received from the Inspector on a bi-weekly basis. Payments made by the Authority to the Inspector under the terms of this Agreement shall be made in the form of a check issued to the Inspector. The Inspector may elect to have such payments mailed to the address listed on IRS Form W9, or to pick up the check from the Authority’s office. The Inspector shall provide to the Authority a completed IRS Form W9 prior to the start of the term of this Agreement as defined herein. The Authority is not responsible for processing delays caused by the provision of incomplete or inaccurate information to the Authority by the Inspector. BENEFITS, TAXES, BUSINESS EXPENSES The Parties agree that the Inspector is engaged in the Inspector’s own independently established business. The Authority is not responsible for and will not withhold or pay payroll or employment taxes of any kind. Because the Inspector is an independent business and not an employee of SMBA, the Inspector is not eligible for any benefits offered to the employees of the Authority. The Inspector shall be personally responsible for all ordinary and necessary business expenses incurred while performing services to the Authority under the terms of this Agreement. Such expenses may for example include mileage, office supplies, personal protective equipment, postage, etc. The Authority shall not be liable to the Inspector for any expenses paid or incurred by the Inspector unless otherwise agreed to in writing by the Board. INSURANCE The Inspector shall provide to the Authority proof of liability insurance with a minimum of one million dollars ($1,000,000) in coverage. The Inspector shall provide to the Authority proof of auto personal injury / property protection coverage with minimum amounts of five hundred thousand dollars ($500,000) / five hundred thousand dollars ($500,000). The Inspector shall comply with all applicable Worker’s compensation law. Proof of Worker’s Compensation insurance shall be provided to the Authority, except when the Inspector operates as a sole proprietorship and provides satisfactory documentation of such to the Authority, or when the Inspector operates as a limited liability company and provides a form WC-337 from the Worker’s Compensation Agency, evidencing its exclusion from Worker’s Compensation coverage. INDEMNIFICATION The Inspector agrees to indemnify and hold the Authority and its Board of Directors, members, employees, or agents harmless from any and all suits, claims, damages, costs, and expenses of every kind and nature which may or might be asserted against the Authority and its Board of Directors, members, employees, or agents by another or others resulting directly or indirectly from the acts or omissions by the Inspector. PAYMENT OF FEES The Authority shall remit payment for invoices received from the Inspector on a bi-weekly basis. Payments made by the Authority to the Inspector under the terms of this Agreement shall be made in the form of a check issued to the Inspector. The Inspector may elect to have such payments mailed to the address listed on IRS Form W9, or to pick up the check from the Authority’s office. The Inspector shall provide to the Authority a completed IRS Form W9 prior to the start of the term of this Agreement as defined herein. The Inspector shall ensure that a complete and accurate IRS Form W9 is provided to the Authority any time the information contained in that Form changes. 2022-11-17 SMBA Board Packet | Page 59 of 69 Page 4 of 6 The Inspector is responsible for maintaining accurate contact information on file with the Authority. The Authority is not responsible for processing delays caused by the provision of incomplete or inaccurate information to the Authority by the Inspector. BENEFITS, TAXES, BUSINESS EXPENSES The Parties agree that the Inspector is engaged in the Inspector’s own independently established business. The Authority is not responsible for and will not withhold or pay payroll or employment taxes of any kind. Because the Inspector is an independent business and not an employee of SMBA, the Inspector is not eligible for any benefits offered to the employees of the Authority. The Inspector shall be personally responsible for all ordinary and necessary business expenses incurred while performing services to the Authority under the terms of this Agreement. Such expenses may for example include mileage, office supplies, personal protective equipment, postage, etc. The Authority shall not be liable to the Inspector for any expenses paid or incurred by the Inspector unless otherwise agreed to in writing by the Board. INSURANCE The Inspector shall provide to the Authority proof of liability insurance with a minimum of one million dollars ($1,000,000) in coverage. The Inspector shall provide to the Authority proof of auto personal injury / property protection coverage with minimum amounts of five hundred thousand dollars ($500,000) / five hundred thousand dollars ($500,000). The Inspector shall comply with all applicable Worker’s compensation law. Proof of Worker’s Compensation insurance shall be provided to the Authority, except when the Inspector operates as a sole proprietorship and provides satisfactory documentation of such to the Authority, or when the Inspector operates as a limited liability company and provides a form WC-337 from the Worker’s Compensation Agency, evidencing its exclusion from Worker’s Compensation coverage. INDEMNIFICATION The Inspector agrees to indemnify and hold the Authority and its Board of Directors, members, employees, or agents harmless from any and all suits, claims, damages, costs, and expenses of every kind and nature which may or might be asserted against the Authority and its Board of Directors, members, employees, or agents by another or others resulting directly or indirectly from the acts or omissions by the Inspector. RETURN OF MATERIALS 2022-11-17 SMBA Board Packet | Page 60 of 69 Page 5 of 6 The Inspector acknowledges that all equipment, files, records, lists, books, computer printouts, software, manuals, financial information and all other documents relating to the Authority will be returned to SMBA upon termination of the contract. LAWS OF MICHIGAN This Agreement shall be governed by the laws of the State of Michigan. Any action brought to enforce the terms of the Agreement or to remedy violations of the Agreement be brought in Kalamazoo County, and the Parties submit themselves to that jurisdiction. ENTIRE AGREEMENT This is the entire agreement of the parties, and no other representations, promises, or agreements, oral or otherwise, shall be of any force or effect. The terms of this Agreement may only be altered in writing, signed by authorized representatives of the Inspector and the Authority upon approval of the SMBA Board of Directors. Juneteenth The Juneteenth holiday was signed into law as a federally-recognized holiday in June 2021. At the October 28, 2021 regular meeting of the SMBA board, the board voted not to add Juneteenth to the list of holidays observed by the Authority. At the time, this decision mirrored that of the Oshtemo and Cooper township boards. As the Authority rents office space from Oshtemo Township, it has been the consensus in the past to align the Authority’s holiday schedule with Oshtemo’s holiday schedule as closely as possible to prevent a scenario wherein one office is open and the other closed to avoid undue confusion of the public. At a special meeting on November 9th, the Oshtemo Township board voted to approve the creation of an additional paid holiday for their staff to recognize Juneteenth. Accordingly, I am bringing forth a proposal to likewise add a new paid holiday to recognize Juneteenth for the Authority’s staff. The proposed 2023 holiday schedule which follows this memorandum reflects this. The four-year term for the original appointment expired on September 15, 2020. Since then, he has been serving in a hold-over status in accordance with the Amended and Restated Interlocal State Construction Code Enforcement and Administration Agreement. Purpose of Discussion Establish procedure and define processes in keeping with the requirements of the interlocal agreement for the selection of a new at-large member. An excerpt from the interlocal agreement is provided for the board’s reference (emphasis added). “The SMBA Board members appointed by the governing body of each Participating Local Unit shall, by majority vote, select one additional at-large SMBA Board member, who shall serve a four (4) year term and who shall be a resident of a Participating Local Unit. The at-large member shall have all of the Authority as other members of the SMBA Board, except no at-large member shall be permitted to vote on the selection of any subsequent at-large member. The residency of the at-large member shall alternate between the Participating Local Units every term. By way of example, if the first at-large member selected by the SMBA Board to serve a four (4) year term is a resident of Oshtemo Township, then the second at-large member selected by the SMBA Board for the next four (4) year term shall be a resident of a different Participating Local Unit. Each subsequent at-large member’s residency shall continue to alternate between the Participating Local Units in the same manner until every Participating Local Unit has been represented by a duly selected at-large member. Notwithstanding, any at-large member whose term has expired shall continue to serve until such time as the next duly qualified at-large member is selected by the SMBA Board. However, a hold over at-large member shall not diminish or shorten the term of any selected subsequent at-large member, whose term shall be four (4) years from the date of selection, even if the prior member is a hold over. If the SMBA Board cannot agree on the selection of any at-large member, then selection shall be by lot and all names of potential at-large members shall be written on identical slips of paper (together with the residency of potential at-large members, but only in the case of the selection of the first at-large member) and placed in a hat.
